Welcome to Modern Work Consultancy ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your use of our website located at modernworkconsultancy.com (the "Site") and your engagement with our services, including consulting, coaching, keynotes, and any related offerings. By accessing or using the Site or our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Site or our services.

1. Services

Modern Work Consultancy provides organizational consulting, executive coaching, keynotes and speaking engagements, fractional HR executive services, and related resources. All services are subject to availability and may be modified or discontinued at our discretion. Specific terms for each engagement, including scope, duration, and fees, will be outlined in a separate agreement or statement of work.

2. Use of Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Site in any way that violates applicable federal, state, or local laws or regulations.
  • Attempt to interfere with, disrupt, or damage the Site or our servers.
  • Use any automated means, including robots, spiders, or scrapers, to access the Site.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Transmit any viruses, malware, or other harmful code.

3. Intellectual Property

Unless otherwise indicated, the Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Modern Work Consultancy, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Proprietary frameworks including but not limited to Green Flag Your Culture™, Your Brain on Ambiguity™, and Personal Operating System™ are trademarks and intellectual property of Modern Work Consultancy. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent.

4. Payments and Fees

Fees for services are as outlined in your engagement agreement, proposal, or as otherwise communicated to you. Payment terms will be specified in the applicable agreement. All fees are non-refundable unless otherwise stated in writing. We accept payment via methods specified in our invoices. Late payments may be subject to interest charges and suspension of services.

5. Cancellations and Rescheduling

For coaching sessions and consulting engagements, we require at least 24 hours' notice for cancellations or rescheduling. Cancellations with less than 24 hours' notice may be subject to the full session fee. For keynote and speaking engagements, cancellation terms will be outlined in the specific engagement agreement.

6. Confidentiality

We are committed to protecting your confidential information. Any information shared during coaching, consulting, or other engagements will be kept confidential, except as required by law or as necessary to provide services. We may use anonymized, aggregated data for internal purposes, but we will not disclose your identity without your consent.

7. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, MODERN WORK CONSULTANCY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Coaching and consulting services are not a substitute for professional medical, psychological, or legal advice. Results may vary and are not guaranteed.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MODERN WORK CONSULTANCY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Modern Work Consultancy and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site or services, your violation of these Terms, or your violation of any rights of another party.

10. Third-Party Links

The Site may contain links to third-party websites or services, including scheduling tools like Zoom. We are not responsible for the content, privacy policies, or practices of any third-party websites. You access such websites at your own risk.

11. Termination

We reserve the right to terminate or suspend your access to the Site or services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site and services will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in New York County, New York.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting the revised Terms on the Site. Your continued use of the Site or services after the posting of changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.

14. Entire Agreement

These Terms, together with any engagement agreements, proposals, or other written agreements you may have with Modern Work Consultancy, constitute the entire agreement between you and us regarding the use of the Site and services, superseding any prior agreements between you and us.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
